FULL AGREEMENT. This agreement and all the other conditions that Microsoft provides for third-party supplements, updates or applications is the whole agreement for the software. Microsoft Enterprise Agreement and Microsoft Enterprise Subscription Agreement are engagement licensing agreements for commercial organizations that sign a new registration with 500 or more users/devices and government organizations with 250 or more users or devices. These agreements are best for organizations that want to license company-wide microsoft software and cloud services over a three-year period and at the best available prices. If you comply with these licensing conditions, you have the following rights. To host application server licenses with license mobility via Software Assurance, you must be an authorized license mobility partner. ASSISTANCE SERVICES. Microsoft is not required to provide support services for the software under this agreement. All support is “as we shall see,” “with all the errors,” and without any guarantee of any kind. Subject to clause (ii) above, Microsoft is only liable for slight negligence if Microsoft violates the essential obligations of the contract, the performance of which facilitates the performance of this agreement, the violation of which compromises the purpose of this agreement and of which a party can consistently trust (“cardinal obligations”). In other cases of minor negligence, Microsoft is not responsible for slight negligence. Open License is a transaction agreement for commercial, governmental, academic and not-for-profit organizations. Software Assurance is optional.
You must be a provider of Microsoft Licensing Solutions (LSP) to sell licenses and subscriptions through Microsoft Enterprise agreements and registrations. We offer several contract options to help partners license microsoft cloud services and on-premise software. Partners must work with authorized Microsoft distributors to sell licenses and subscriptions through open agreements. You must also be an AER to sell licenses via Open License for Academic and Open Value Subscription for Education Solutions. Microsoft Products and Services Agreement (MPSA) is a transaction licensing agreement for commercial, government and academic organizations with 250 or more users/devices. MPSA is most appropriate for organizations that wish to license Microsoft for software, cloud services or needs, without organizational-wide obligations or multi-year subscription options under a single agreement that does not expire. Software Assurance is optional. Microsoft Open License, Microsoft Open Value and Microsoft Open Value Subscription are Microsoft volume licensing agreements for organizations with 5-499 users/devices that want to license local Microsoft software, cloud services or both. This pension does not apply to state agreements and Select Plus academic agreements or if the MPSA is not available on July 1, 2016. Unless it is accompanied by a separate Microsoft license agreement (z.B. if you use a Microsoft application that is included in Windows and is part of Windows, then Microsoft`s licensing conditions apply to the Windows operating system for that software), any software we make available to you under the Services is subject to these Terms.
